About Our Client

My client is one of the world's leading financial groups, with the European HQ in London having over 600 employees. This HQ is active throughout international capital markets, focusing on debt, equity, derivatives and structured products.

Job Description

The main focus of the role will be to provide support to the International Head of Corporate Affairs, in ensuring a good corporate governance structure. The Corporate Affairs function is responsible for the management of governance activity across the company, and 3 major subsidiaries.



The key responsibilities include;

- Board & Committees: be the primary support to the Company Secretary through attending meetings, organising papers and taking minutes for 4 committees. To provide back-up management for the Board, risk and other major committees.

- Drafting of Board/Committee Papers and Governance documentation: e.g governance documentation, board governance framework, risk management

- To provide technical support for various governance and corporate projects including, but not limited to, the Board Effectiveness

- To annually review the department's Operating Model and Compliance with the UK Corporate Governance Code Operating Model and to manage the effective implementation of the subsequent requirements to ensure that the Corporate Affairs Department is compliant with its obligations and the Company is, to the extent possible, following the requirements of the UKCGC.



Other Responsibilities

  • In conjunction with the Head of Corporate Affairs, review any corporate disclosures for the Company prior to submission.
  • Assist in the oversight of the corporate governance of the Dubai branch office.
  • To assist in developing the annual training programme for the Board and individual directors development plans and assist in the roll out of those programmes.
  • To assist in any Board Director Induction programmes.
  • To assist in any training for the members of the Department where deemed appropriate.
  • To undertake the annual insurance renewals for the Company including the (i) crime and professional indemnity, and (ii) directors and officers policies and provide management information to the Executive Committee to assist in renewal decisions.
  • To provide technical support to the Head of Corporate Affairs, Senior Management and Board Directors.
  • To be a primary contact to Internal Audit for any issues raised for Corporate Affairs and, in conjunction with the Head of Corporate Affairs, manage the implementation of any remediation measures or enhancements to be made to the department's processes.
  • To be responsible for the implementation of and annual review of Board level and International Head job descriptions.
  • To annually review Board level terms of reference and assist in any implementation of an internationally consistent template for terms of reference.

The Successful Applicant

  • Either a Corporate lawyer/company or capital markets experience or an experienced Company Secretary from financial services
  • Knowledge of the principles of good corporate governance
  • Financial Services experience
  • Drafting skills
  • An understanding (or willingness to learn) about the capital markets business
  • Good Microsoft office skills
  • Ability to take minutes in a wide range of meetings
