Job Description

Amongst others, the interim company secretariat assistant will comply with

  • Legislative and Regulatory Compliance - Meet the Group and directors' legislative, regulatory and constitutional duties, providing a full range of services and working with both the Legal and Compliance teams as well as external law firms. Assist with corporate restructures and significant financial and constitutional projects, Companies House filings, register company amendments and review financial and regulatory reporting.
  • Support and mentor the Company Secretariat Administrators - provide training and guidance where required, share knowledge and expertise, and carry out 'second checks' on Board packs before publication.
  • Respond in an appropriate and timely manner to email and telephone enquiries received by the function from the Board, Executives, Senior Management and external auditors- Deal appropriately and in a highly professional manner with email and telephone enquiries received in the Secretariat team mailboxes, including those related to Boardpad support and Group insurance
  • Business Support: Legal Team and Wider Group - Provide additional administrative, IT, legal and corporate governance support and advice, where required, to the Legal team and deal with requests for information from the wider business, including the external auditors
  • People relationships - Work closely with the PA to the Group Company Secretary, Company Secretary, Deputy Company Secretary and Company Secretarial Manager, the legal team, including the Head of Legal, and particularly with the Chairman's and CEO's PA's and the Executive PAs
  • Annual Board and Committee agenda planning and Board timetabling management - Draft and circulate Board/Committee meeting agendas, track Board/Committee actions and liaise with executives on progress updates and governance agenda items.
  • Board and Committee liaison - represent the team to the Board and executives, but in particular the non-executive directors, Chairman and the Senior Independent Director, providing support and advice (both in person and via telephone/email), responding to enquires on meeting arrangements, agenda, actions, corporate governance, points of law or Boardpad issues, amongst others.
  • Attend Subsidiary Board and Board Committee meetings in person - represent the team in Board/Committee meetings and draft accurate minutes, to a high standard, in a timely manner covering a range of specialist subjects, including actuarial, investments, pensions, reinsurance, with-profits and insurance reserving, amongst others.
  • Lead on Board/Committee meeting preparation board pack production, working alongside another team member - undertaken second checks on others board packs.
  • Administer and support Company Secretarial Systems - Maintain Blueprint and other Company Secretariat databases - Be able to access records on the OneWorld database and administer other Secretariat databases such as Insider Manager.

The Successful Applicant

the interim company secretariat assistant will have

  • Qualifications - Degree level or higher, including a relevant qualification in a related field of law, (e.g. company law) business and finance or corporate governance ICSA/ACIS qualified would be advantageous.
  • Experience - 2 years' experience working in within a company secretarial role (or equivalent). Experience within a corporate environment, preferably within the financial services industry.
  • Company Secretarial Skills - ability to apply Company Secretarial skills to support wider business and commercial issues. Minute writing experience and Board/Committee exposure essential.
  • People skills - ability to establish good rapport and build internal relationships with senior management, including at Board level. Must have the ability to operate at the highest levels of the Group.
  • Organisational skills - able to meet deadlines and plan ahead; prioritise time and deliver consistently on commitments; operate with a meticulously accurate approach and high attention to detail, ability to work under tight deadlines and high pressure.
  • Team - be a good team player and adapt positively to change, a strong work ethic and ability to work at pace and multi-task is essential.
  • Personal -proactive and supportive - resilient, able to handle criticism and meet very high standards of professionalism.
  • Communication and IT - strong written skills, good excel, word and PowerPoint skills, experience of, or aptitude to learn electronic Boardpad and company database system
