Assistant Corporate Counsel joining existing team in the UK & Ireland to support Corporate Counsel with the following functions:
• Partner with sales teams to assist in the project management of deals to conclusion, including advising on commercial deal structuring, negotiating and drafting contracts with customers and their procurement professionals and attorneys, and (ii) with other internal teams to negotiate and document contracts with licensors, distribution partners, and suppliers;
• Lead initiatives to enhance existing standard UK and European contract forms, and develop new contract forms and processes as needed;
• Work with other internal constituents (e.g. product management, product development, marketing, vendor management, data & operations, pricing, finance) to support business initiatives that affect contract management and compliance;
• Provide general advice and support to Global Vendor Management Office (including the preparation of standard form templates for use with vendors and where required negotiate and revise vendor terms);
• Provide advice and support to the European DataOps team in connection with data purchasing, data quality management and complaints handling, including where required contract negotiation and drafting, and complaint / litigation advice and management;
• Provide advice and support to the UK&ROI Credit Control function including advising on claims and managing litigation where material issues are involved;
• Provide general advice and support to European owned markets in connection with customer deals, including including where required advice on contract forms, contract negotiation and drafting.
• Provide business focused advice to UK and European market leaders on a variety of legal matters (liaising with colleagues in the in-house Global Legal team and local outside counsel, for specialized support as needed). Act as a business partner at leadership team level to contribute towards decision making on major contracts and provide advice to senior management on other significant issues affecting the business;
• On behalf of the leadership team, work on a range of other issues with legal implications. Manage these issues through to resolution and act as liaison with our legal partners This includes assisting with the management of pre-litigation and litigation matters
Who we're looking for
• Qualified solicitor 5-10 years PQE including experience of negotiating contracts directly with customers and suppliers and other parties. Must have excellent negotiation skills and a working knowledge of all facets of commercial contracting, intellectual property licensing and contract law principles.
• Experience handling company secretarial matters including Companies House filings is a requirement. Experience with ICSA Blueprint software an advantage.
• Demonstrated ability to advise and influence internal partners at all levels.
• Strong organizational, analytical, oral and written communication, and problem solving skills are essential. Must be fully conversant with use of MS Office suite (particularly for document template management, and the preparation of training tools and presentations).
• Ability to work both independently and as part of a team.
