Main Responsibilities for the role include:
• Management of company secretarial compliance and administration for all European entities outside of the UK (including Ireland, Netherlands, Czech Republic, Poland, Hungary, Belgium, Finland, France, Italy, Germany, Spain, Sweden, Russia, Ukraine) including:
• Implementing changes as required (i.e. resignation/appointment of directors, changing or adding registered addresses); Preparation, execution and filing of board minutes.
• Completion and submission of relevant statutory forms/minutes to the relevant Commercial Registries within the prescribed time period. e.g. - Annual Returns
• Liaising with internal accountants and external auditors and local professional and legal advisors to ensure annual compliance (timely filing of statutory accounts etc); Ongoing monitoring of compliance;
• Assistance with adhoc enquiries - shareholders, directors, powers of attorney etc;
• Confirming statutory information to the business as and when required including liaising with external advisors to obtaining various corporate documents required
• Review and maintenance of internal company secretarial database and filing systems to ensure smooth running and easy information reference.
• Researching and advising on company incorporations, set up of branch offices and representative offices including dealing with external professional and legal advisors to obtain relevant advice and relaying such advice to the business in a concise and solution driven manner
• Drafting bespoke Memorandum & Articles and various other relevant constitutional documents (liaising with external local lawyers in each relevant jurisdiction)
• Advising Group Company Secretary and Board members on relevant corporate governance and regulatory issues (including liaison with external advisors)
Paralegal support
Support to Legal Dept regarding legal issues in Europe including:
• Ad hoc legal advice to operational teams in Europe
• Ad hoc review and drafting or amending of various legal documents including lease agreements and supplier agreements
• Dealing with invoices, injunctions, disputes and settlement awards in relation to European activities
• Research into legal and non-legal issues that relate to the European subsidiaries
• Drafting letters and documentation with legal content
Who we're looking for
The suitable candidate will have:
• Company secretarial experience • Some experience of delivering legal advice
• Strong computer skills including Word, Excel, PowerPoint and Outlook.
• European company secretarial or compliance experience• Legal background with relevant legal qualification or I.C.S.A qualified
