Job Description

  • Corporate Governance/Compliance

Remain current on the latest developments in health care compliance * Take the lead drafting and maintaining compliance policies and other policies for which Legal is responsible * Contributing to developing and delivering training on the Company's compliance policy framework * Be pro-active in raising and resolving anti-corruption and other compliance issues * Add value to the analysis of business risk/decision making process.

  • Company/Commercial

Draft and negotiate a wide range of commercial contracts, including distribution/reseller agreements and purchase/supply agreements * Manage and resolve distributor/reseller related issues, including termination * Draft and maintain legal templates * Provide preliminary advice in respect of disputes arising from commercial contracts/in course of business * Manage any litigation arising in liaison with external counsel * Proactively raise potentially significant legal issues to the General Counsel/Legal team * Ensures that all such agreements negotiated are in compliance with company objectives, company policies, and relevant laws.

  • Oversight of Company's legal entity footprint in EMEA

Ensure proper administration of company secretarial filings/records for UK registered companies * Maintain overview of company secretarial filings/records for all other legal entities located in the region.

  • Other support areas

Provide support to corporate and global finance projects/initiatives as and when required * Provide support across the region as needed * Manage external counsel - liaise and work with external counsel in order to achieve satisfactory and costefficient delivery of services.

The Successful Applicant

The ideal:

  • Solicitor/Barrister licensed to practise in the UK, or EU/Int equivalent.
  • A minimum of 6 years law firm, in-house or combined broad commercial post qualification experience (PQE).
  • Previous legal experience in an international, general commercial in-house environment.
  • Previous experience working as part of a global legal team.
  • Previous experience managing external legal counsel.
  • Experienced in the following areas of law: General commercial/contracts, IT & data protection, corporate governance, compliance.
  • The drive to master the technical nuances of Cochlear's Connected Care products and services.
  • Sound understanding of regional compliance domain within the life sciences industry (anti-corruption, privacy, competition, regulatory, sanctions and export controls).
  • Ability to complete multiple project assignments efficiently and accurately.
  • Effective organizational, problem solving, verbal and written communications skills.
  • Ability to manage projects from inception through implementation in a team environment.
  • Excellent communication, influencing and resolution skills at all levels of the organisation.
  • Excellent spoken and written English.
