Job Description
As Interim Head of Ethics and Compliance, key responsibilities are as follows:
- Complete the development of the suite of policies, systems and tools related to the launch of the Group Code of Ethical Conduct, currently scheduled for March 2021
- Establish and champion and ethical culture and a compliance mindset within the organisation
- Establish, working with the global supply chain function, an agreed risk assessment and due diligence process for the Group's suppliers/vendors
- Establish an investigations framework under which whistleblowing reports can be effectively and appropriately investigated
- Provide support to all Business Units in processes and operations, including data analytics, preparation of papers, reports and presentations to Board meeting
- Lead the definition and monitoring of Compliance Key Performance Indicators and Key Risk Indicators, and support to Compliance Risk Assessment process
- Lead the development and implementation of all compliance frameworks and policies across the group. Including but not limited to Code of Ethical Conduct, Conflicts of Interest policy, Global Conflicts Register, Gifts & Hospitality policy and global register, Whistleblowing policy, investigation procedure and framework, CSR review policy and register etc.
- Responsible for Code of Conduct and Whistleblowing investigations management and reporting to Board
- Own and maintain the compliance system and implement a programme of continuing learning and training
- Run the annual code certification process
- Maintain the Conflicts of interest register, the Gifts and Hospitality register and the high risk consultant register.
- Develop and runs the e-learning training programme
- Manage ethics and compliance enquiries from internal and external stakeholders
- Lead the Ethics and Compliance Committee activities
- Manage the CSR registers and diligence process
- Maintain the registers of high risk consultants, payments to public officials and PEPs
- Work with Supply Chain, establishes and maintains a framework for supplier risk assessment and due diligence procedures and investigations/audits
- Ensure adequate "tone from the top" and be accountable for maintaining 'adequate procedures' defence
The Successful Applicant
The successful applicant will possess the following:
- Deep compliance programme experience along with a firm understanding of relevant laws, regulations, and regulatory bodies, including the compliance requirements and risks associated with these areas
- Advanced project management skills
- Demonstrated abilities in conducting investigations
- Experience in rolling out global IT systems
- Deep understanding of compliance program elements, controls, global compliance requirements, issue management protocols, and governance practices, particularly in emerging markets
- Experience with FTSE multinational companies
- In-depth knowledge of elements of an effective in-house compliance program and global regulatory requirements related to anti-bribery / anti-corruption
- Knowledge of compliance standards and best practices
