Job Description

The Interim Assistant Company Secretary will be an intrinsic member of the governance team and assist with the board and committee meeting cycle. This will include:

  • Assist in the preparation and distribution of board and committee meeting agendas and materials.
  • Maintain accurate records of board and committee meetings, including taking and finalising minutes.
  • Ensure compliance with corporate governance policies and regulatory requirements.
  • Support the board with administrative and organisational tasks.
  • Manage statutory filings and maintain corporate registers.
  • Assist with drafting and reviewing governance-related documentation and reports.
  • Liaise with internal and external stakeholders regarding governance matters.
  • Provide general support to the Company Secretary as required.

The Successful Applicant

A successful Interim Assistant Company Secretary should have:

  • A relevant qualification or working towards one, such as CGI (or previously ICSA (The Chartered Governance Institute)) or equivalent.
  • Experience in corporate governance or company secretarial roles ideally within financial services or a similar environment.
  • Strong attention to detail and excellent organisational skills.
  • Proficiency in managing statutory filings and corporate records.
  • Effective communication skills for liaising with senior executives and stakeholders.
  • Ability to handle confidential information with discretion and professionalism.
