Job Description

The successful candidate will Report into the Head of the In-house Legal Team and will act as a business partner to all areas of the Firm, playing a key role in strategic projects, and enabling the business to effectively manage risk whilst successfully taking forward its business objectives.

The in-house Legal Team support across all areas of the Firm, meaning the day-to-day workload will be broad ranging and constantly evolving and will involve all of the Firm's global offices becoming a trusted and pragmatic adviser to the business, leading and assisting with the following areas:

Mergers & Acquisitions (M&A): M&A due diligence, financing, NDAs (M&A, clients, suppliers), post-completion collaboration/integration and Action Plans (please note that there is a strong emphasis on the successful candidate having in-depth experience and exposure to M&A Transactions and Cross-Border deals).

Commercial Contracts & Business Operations: Client terms/contracts review' Client contract data/register, Supplier agreements, Marketing agreements, IT application agreements, New IT application/AI data privacy reviews, Policy review oversight

Corporate / Company Law & Governance: Boards and Board committees, Corporate governance, Corporate structuring/restructuring, Director/Entity KYC, Company data/registers, Organisation charts, Principal exits, Principal shareholder onboarding, Legal/contractual/regulatory obligations

Finance, Tax & Accounting: Banking, Financial statements review/signoff, Tax, tax inspections, VAT queries, Transfer Pricing Master/local files

Regulatory Compliance & Risk Management: ABAC program project management, Fraud program project management, Risk program, Whistleblowing, Modern Slavery statements, Sanctions, Audit/Auditor questions, Legal research

Privacy, Data Protection & Information Security: Data Privacy, GDPR compliance, Intra-Group Data Sharing Agreement, Client data security audits, ISO 27001/27701 annual certification program, Penetration testing, Cyber insurance renewal.

Employment Law: Contentious and Non-contentious matters, policy drafting and advisory work

Litigation & Disputes: Litigation, Professional Indemnity issues

ESG, Sustainability & Corporate Responsibility: ESG/CSR (including metrics/net zero/SERC reporting)

Insurance & Risk Transfer: Management, Property, Business Interruption, General Commercial Liability, Travel insurance, Professional Indemnity insurance renewal

Property / Real Estate: Property leases

Client Relationship & Business Continuity: Client conflicts, Client RFPs, Business, Continuity Planning

The Successful Applicant

The successful candidate will be a qualified lawyer in England & Wales (or another Common Law Jurisdiction).

They will be likely to have at least 8 years of post-qualification experience.

This role suits someone who is organised, works well under pressure and who is comfortable using their initiative.

Experience managing individuals and projects would be an advantage (as you will take some management responsibilities for junior lawyers in this role).

This firm is looking for someone with the ability to lead, provide a view, take responsibility and ownership of issues, including an ability to take difficult decisions and provide substantiated arguments. Commercial awareness of the business issues facing the Firm as it evolves, coupled with an active desire to get alongside our business, scanning the horizon for new service offerings to provide legal insight and support is essential.
